The general conditions of affiliation, set out below, define the relations between the company L8 Group Unipessoal LDA registered in Portugal on the lisbon-cowork.com site and any natural or legal person (referred to as AFFILIATE) generating sales of products or services (referred to as PRODUCTS). ) in return for a commission (COMMISSION), as described below.
- TERMS OF USE
THE AFFILIATE undertakes to promote the PRODUCTS to its customers by establishing a link between its website (s) and the websites of Lisbon-cowork.com according to the membership conditions set out in this agreement.AFFILIATE customers will benefit from the same advantages and services as all other Lisbon-cowork.com customers. - RIGHTS AND OBLIGATIONS OF Lisbon-cowork.com
2.1 Lisbon-cowork.com grants the AFFILIATE on a non-exclusive, non-transferable basis and only during the term of the contract:
• the right to access Lisbon-cowork.com sites exclusively via html links, such as text links, banners, widgets or any other online marketing medium, called “HTML TOOLS”, made available by Lisbon-cowork.com.
• the right to use logos, names and trademarks or any other similar marketing material grouped together under the name “MARKETING TOOLS”.
2.2 Lisbon-cowork.com undertakes to make available to the AFFILIATE, the HTML TOOLS which may be published on the AFFILIATE’s website (s) and whose objective is to create a link between his / her Internet site (s) and those of Lisbon-cowork.com, while allowing AFFILIATE customers to book activities on Lisbon-cowork.com sites.
2.3 Lisbon-cowork.com provides the AFFILIATE with an online administration account secured by a username and password, allowing the latter to be able to identify and track the purchases of PRODUCTS made by its customers.
2.4 If no sale of PRODUCTS has taken place during a period of 180 consecutive days, the AFFILIATE’s account will be considered inactive and will be closed, unless requested otherwise in writing (email or letter) from the AFFILIATE. , 30 days before the end of the 180-day period.
2.5 Lisbon-cowork.com reserves the right to audit the AFFILIATE’s site (s) to ensure that the HTML TOOLS redirecting to the Lisbon-cowork.com sites are properly implemented.
2.6 Lisbon-cowork.com, in its sole discretion, will consider whether the HTML tools linking the AFFILIATE’s site (s) to Lisbon-cowork.com sites are the subject of appropriate or inappropriate use. It is also explicitly understood that any use of the affiliate program by a site offering discounts via promotional codes issued by Lisbon-cowork.com and which are not intended for them, is considered inappropriate. Therefore, Lisbon-cowork.com will be brought either to:
• Inform by email the AFFILIATE of the modifications that the latter must make. Corrections must also be made within 7 calendar days of receipt of the request. In the event of a breach of these obligations, Lisbon-cowork.com reserves the right to terminate the contract early on simple written notification (by mail or email).
• Terminate this contract, 15 days after notification in writing (mail or email) of its decision to the AFFILIATE. - RIGHTS AND OBLIGATIONS OF THE AFFILIATE
3.1 The AFFILIATE may in no case alter or modify the HTML and MARKETING TOOLS provided by Lisbon-cowork.com.
3.2 The AFFILIATE is authorized to use the HTML and MARKETING TOOLS only for the duration of the affiliation contract between him and Lisbon-cowork.com.
3.3 THE AFFILIATE grants Lisbon-cowork.com, throughout the duration of the contract, in a non-exclusive and non-transferable manner, a right to the use of its name, trademark, logo, and any other equivalent information. as part of the communication, promotion and marketing of PRODUCTS referenced by Lisbon-cowork.com.
3.4 Lisbon-cowork.com is under no obligation to promote the AFFILIATE.
3.5 The domain names of AFFILIATES must in no case contain the name “Lisbon-cowork”.
3.6 AFFILIATES undertake not to seek to acquire domain names or to contract with a third party in order to use the name Lisbon-cowork.com, with the aim of appearing in search engine results, or for any other reason. Breach of this commitment will result in the immediate termination of this Affiliate Agreement binding the AFFILIATE to Lisbon-cowork.com.
3.7 Following the termination of the affiliation contract and for any reason whatsoever, the AFFILIATE undertakes to immediately remove from its sites the HTML and MARKETING TOOLS linking its website (s) to Lisbon-cowork.com.
3.8 AFFILIATES are obliged to offer Lisbon-cowork.com PRODUCTS at the price recommended by Lisbon-cowork.com.
3.9 All reservation requests from a client of an AFFILIATE will be subject to prior acceptance by Lisbon-cowork.com, within the framework of its general conditions of sale. - AFFILIATE COMMISSIONING RULES BY Lisbon-cowork.com
4.1 Lisbon-cowork.com undertakes to pay a reference COMMISSION of 10% to its AFFILIATES, calculated on the basis of the Sale Price excluding tax of each PRODUCT purchased (minus any cancellations and / or refunds) by customers of the AFFILIATE. COMMISSION will be calculated and paid in Euros. This rate is valid until December 31, 2022 and will be redefined on that date
4.2 Lisbon-cowork.com reserves the right and at its sole discretion, to offer its AFFILIATES a COMMISSION rate different from the reference COMMISSION rate of 10% (cf. 4.1).
4.3 The payment of COMMISSIONS to the AFFILIATE by Lisbon-cowork.com will be made monthly, based on the PRODUCTS consumed the previous month by the AFFILIATE’s customers. Gift coupons are not included in the program, no commission will be paid for the purchase of such coupons.
4.4 In the event that the amount of COMMISSION to be paid to the AFFILIATE is less than € 60, the payment will be withheld until the following month and until the amount of COMMISSION is equal to or greater than the amounts mentioned above.
4.5 In the event of the end of the validity of this agreement, Lisbon-cowork.com undertakes to pay the AFFILIATE the remaining COMMISSION due according to the established payment schedule (see paragraph 4.3), even if the COMMISSION is less than amounts mentioned in paragraph 4.4.
4.6 Payment will be made by Bank Transfer (fees may apply and will be deducted from the commission) depending on the destination of the payment. In all cases, the AFFILIATE will be required to provide full bank details to Lisbon-cowork.com when registering for the AFFILIATION program. Failure to provide bank details within 15 days of the request will be considered a waiver of said commissions.
4.7 In the event of a dispute or rejection of a PRODUCT by the AFFILIATE’s customer and already paid to the AFFILIATE, Lisbon-cowork.com will deduct from the following monthly payment, the amount of the COMMISSION associated and already paid to the AFFILIATE. . In the event that the AFFILIATE is not the subject of any additional payment by Lisbon-cowork.com, Lisbon-cowork.com will send to the AFFILIATE an invoice for the amount overpaid by the latter. THE AFFILIATE undertakes to reimburse Lisbon-cowork.com within 30 days of the date of issue of the invoice.
4.8 Lisbon-cowork.com does not commit to any volume of COMMISSIONS likely to be generated by the AFFILIATE. - LIMITATIONS OF LIABILITY OF Lisbon-cowork.com
5.1 With the exception of the HTML and MARKETING TOOLS provided by Lisbon-cowork.com and the payment of PRODUCTS by customers through Lisbon-cowork.com, the AFFILIATE releases Lisbon-cowork.com from any liability for complaints, compensation or expenses (including without limitation attorneys’ fees) that may be claimed by the client from the AFFILIATE in the context of the development, maintenance, and content disseminated on its own websites.
5.2 With the exception of paragraph 4.1, Lisbon-cowork.com may, at its sole discretion, modify the terms and conditions contained in this contract, at any time, subject to providing notification to its AFFILIATES, via the email address provided by the AFFILIATE when registering for the affiliate program. The notification sent to affiliates will also include a link redirecting to the page referring to the amended terms and conditions of membership. If a modification is not accepted by the AFFILIATE, the latter may freely terminate this agreement within 15 days of the date of receipt of its termination letter. In addition, without written return from the AFFILIATE thirty (30) calendar days after the email notification sent by Lisbon-cowork.com, the new general conditions will be considered as accepted by the AFFILIATE.
5.3 Within the framework of this agreement, Lisbon-cowork.com cannot be held responsible for direct or indirect damages, relating to loss of income, profits, or data, even if Lisbon-cowork.com has been notified of the possibility of such damage. Whatever the reasons, Lisbon-cowork.com’s liability arising from this agreement shall not exceed the total of the fees paid or payable to the Affiliate under this Agreement.
5.4 Lisbon-cowork.com cannot guarantee that the operation of its website (s) will never be interrupted. Lisbon-cowork.com therefore cannot face the consequences of an interruption of service, or the presence of an error on one of its websites. The same applies to the services and products offered by Lisbon-cowork.com.
5.5 AFFILE grants Lisbon-cowork.com the right to solicit its customers in the context of its activity.
5.6 It is understood that the Affiliate and Lisbon-cowork.com are two independent companies. In the event of a dispute, Portuguese law will apply and only the Lisbon court will be considered competent.
5.7 The Affiliate guarantees Lisbon-cowork.com, with the exception of the conditions of use defined in this contract, he will not use for other purposes, directly or indirectly, the tools and the material put at his provision by Lisbon-cowork.com, the Lisbon-cowork.com brand or its variations (including search engine marketing operations, public relation operations, use of the Lisbon-cowork.com brand and of its associated domain names or logos, any advertising or online / offline marketing operation, etc.) without the prior written consent of Lisbon-cowork.com.
5.8 Regarding Lisbon-cowork.com suppliers, the Affiliate guarantees Lisbon-cowork.com that it will not use, directly or indirectly, the brands, variations and logos of Lisbon-cowork.com suppliers (including search engine marketing operations, public relation operations, use of the brand and its associated domain names or logos, any advertising or online / offline marketing operation, etc.) without prior agreement written from Lisbon-cowork.com according to the communication permissions set by the suppliers themselves, at their sole discretion.
5.9 The affiliate acknowledges having fully understood this agreement and accepts its terms and conditions. - VALIDITY OF THE AGREEMENT
The duration of the affiliation contract between Lisbon-cowork.com and the AFFILIATE is set at December 31 of the year of the date of acceptance of the affiliation agreement by Lisbon-cowork.com and it is will renew by tacit agreement every year on January 1st.
Either party may terminate the contract at its convenience by written communication (email or mail), with 30 days notice.
Any termination or breach of contract will not affect the conditions agreed beforehand during the period of validity of the contract. The english version of this agreement shall prevail. - Date and version
